TSP NC Inc – Terms and Conditions of Sale

1. Acceptance of Terms
By purchasing products or services from TSP NC Inc or its subsidiaries (“Seller”), the customer
(“Buyer”) agrees to be bound by these Terms and Conditions. These Terms constitute a legally binding
contract between the Seller and Buyer. Continued engagement with TSP NC Inc constitutes
acceptance of any future revisions posted herein.
2. Purpose
The purpose of this policy is to establish a clear and binding agreement between TSP NC Inc and its
customers, ensuring fairness, transparency, and accountability in all transactions.
3. Definitions
Seller: TSP NC Inc and its subsidiaries.
Buyer: The customer or entity purchasing goods or services from the Seller.
Vendor: A third party supplying parts or goods to the Seller.
Deposit: A non-refundable portion of payment made to initiate an order or service.
Non-Stock Item: An item not regularly stocked by the Seller and requiring special order.
Shipping: The delivery process for goods sourced from Vendors or Manufacturers.
Agreement: This Terms and Conditions document, as amended from time to time.
4. Deposits
Deposits are required for: Non-stock items; Orders exceeding $8,000 USD; Services or labor
exceeding $15,000 USD. Deposits are non-refundable once an order is placed unless the Seller
cancels the order. Returning customers with a prior history of payment issues must prepay in full before
any products are ordered or services rendered.
5. Services
Installation and service fees are due upon completion unless otherwise stated in writing.
6. Purchase Orders
TSP NC Inc honors purchase orders from approved agencies or businesses, provided all conditions of
this Agreement are met. The Seller reserves the right to reject or cancel any purchase order not in
compliance with these Terms.
7. Financing
Financing services are provided exclusively by third-party vendors. The Seller assumes no liability for
credit approval, interest rates, or actions taken by financing providers. Buyers are subject to each
vendor’s respective terms and conditions.
8. Payments
Accepted forms of payment include: Cash – accepted for local transactions only. Checks – accepted
from businesses only; no personal checks. Credit Cards – accepted in person or online through
approved processors. All payments are considered received once funds are cleared and available to
TSP NC Inc. The Buyer agrees to abide by the terms of the payment processor. TSP NC Inc is not
responsible for processor errors or delays.
9. Returns
All sales are final. Returns are not accepted unless required by applicable law, or in cases of verified
manufacturer defect or recall.
10. Shipping
For applicable items, freight or shipping fees may apply. TSP NC Inc is not liable for delays, damages,
or losses caused by third-party carriers or manufacturers. Orders under $100 USD may include a
shipping fee not exceeding $20 USD.
11. General Terms
Governing Law: This Agreement is governed by the laws of the State of North Carolina. Dispute
Resolution: Any disputes shall first attempt mediation before legal action. Severability: If any provision
is found invalid, the remaining terms remain in effect. Amendments: TSP NC Inc reserves the right to
modify these Terms at any time, with notice posted at the top of this document
